A General Partnership — known in Bulgaria as an SD — is one of the most straightforward commercial structures available under Bulgarian law, best suited for trusted business partners who wish to operate jointly without the complexity of a limited liability company.
What is a General Partnership?
An SD is a partnership in which all partners bear unlimited and joint personal liability for the obligations of the business. This means creditors can pursue not only the assets of the partnership itself, but also the personal properties of each individual partner. There is no liability cap — every partner is fully exposed.
This distinguishes the SD fundamentally from a Bulgarian OOD or EOOD, where shareholder liability is limited to the company’s own assets.
Key facts
A minimum of two partners is required — either individuals or legal entities of any nationality. The partnership has no own registered capital, and at least one director of any nationality must be appointed. A registered local address in Bulgaria is mandatory for all official correspondence from government institutions. The company name must include the surname of at least one partner together with the designation “SD” or “Co.”
All Bulgarian General Partnerships are subject to the flat 10% corporate income tax on net profit — one of the lowest rates in the EU. Profit distributions to partners are subject to the 5% dividend withholding tax.
Is an SD the right structure for you?
The SD works well for closely trusted partners who want a simple joint business structure with no capital requirements. However, the unlimited personal liability of all partners is a significant risk that most foreign investors prefer to avoid. For full protection of personal assets and greater structural flexibility, a Bulgarian OOD or EOOD remains the preferred choice for the vast majority of foreign investors.
